1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of all products, services, websites, applications, and APIs provided by Camag Technologies (“Camag”, “we”, “us”, or “our”), including:

  • CoopTran: Cooperative automation and transaction solution
  • Vendora: WhatsApp-native storefront and commerce builder
  • Custom enterprise platforms and consulting tools
  • Future digital solutions developed by Camag

By accessing or using our services, you (“User”, “you”, “Customer”, “Client”) agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Eligibility

To use our services, you must:

  • Be at least 18 years old and capable of entering legally binding agreements
  • Represent a legally registered business entity, if applicable

We may verify your identity and eligibility and may restrict or terminate access if compliance is not met.

3. Scope of Services

Camag provides digital infrastructure and automation, including:

  • Business website generation
  • Product catalog and inventory sync
  • Messaging commerce (e.g., via WhatsApp)
  • Cooperative financial tools and dashboards
  • Business intelligence and analytics
  • Third-party API integrations (e.g., Flutterwave, Twilio)

We may modify, add, or discontinue services at our discretion. Some features require paid subscriptions or enterprise agreements.

4. Account Registration and Security

You must register an account with accurate, complete information and are responsible for:

  • Maintaining credential confidentiality
  • Ensuring authorized use only
  • Notifying us of security breaches at admin@camagtech.com

Camag is not liable for losses from unauthorized access due to your negligence.

5. Fees, Billing, and Refunds

Services are prepaid unless specified in a custom contract. You agree to:

  • Pay all applicable fees per your subscription
  • Provide valid billing information
  • Abide by current pricing plans

Refunds are subject to our Refund Policy. Most payments are non-refundable except in specific cases.

6. Use Restrictions

You may not:

  • Violate local or international laws
  • Engage in fraudulent or illegal activities
  • Infringe intellectual property rights
  • Spam, harass, or misuse messaging features
  • Reverse-engineer or resell our services without permission
  • Misrepresent your business identity

Violations may result in account suspension or termination without refund.

7. Data Ownership and Intellectual Property

7.1 User Data

You retain ownership of your content and data. You grant Camag a non-exclusive, royalty-free license to use it solely for service provision.

7.2 Camag IP

All Camag platforms, code, branding, and documentation are our exclusive property. Use of our name, logo, or visual identity requires written permission.

8. Third-Party Services

We integrate with third-party services (e.g., Flutterwave, WhatsApp, Google OAuth), governed by their own terms. Camag is not liable for their issues or policy changes.

9. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted access. Downtime may occur due to maintenance or third-party issues. Compensation, if offered, will be account credits, not refunds.

10. Modifications to Terms

We may update these Terms, notifying you via:

11. Termination

We may suspend or terminate your account for:

  • Your request
  • Terms violations
  • Prolonged inactivity
  • Legal or governmental orders

Upon termination, you lose access to your data, though we may retain records per our Privacy Policy.

12. Limitation of Liability

To the extent permitted by law, Camag is not liable for:

  • Loss of data, profits, or opportunities
  • Third-party service interruptions
  • User errors or misconfigurations
  • Force majeure events (e.g., natural disasters, internet outages)

Our liability is capped at the amount you paid in the preceding 3 months.

13. Indemnification

You agree to indemnify Camag, its directors, and affiliates from claims, damages, or costs arising from:

  • Your use or misuse of our services
  • Terms violations
  • Legal or regulatory violations
  • Claims from your customers or users

14. Governing Law and Dispute Resolution

These Terms are governed by Nigerian law. Disputes will be resolved via:

  • Informal resolution at admin@camagtech.com
  • Mediation or arbitration under Nigerian law
  • Courts in Lagos, Nigeria

15. General Provisions

  • Entire Agreement: These Terms, with our Privacy Policy and Refund Policy, form the complete agreement.
  • No Waiver: Failure to enforce rights does not waive them.
  • Severability: Invalid clauses do not affect remaining Terms.
  • Force Majeure: Camag is not liable for delays beyond our control.
